Creator Agreement

1. Who This Applies To

This Agreement applies to anyone who lists, sells, or otherwise monetizes products or services on Biou — including digital downloads, external link redirects, unlock content, and bookings (each, a “Product”).

2. Eligibility

• You must be at least [MIN_AGE] years old and able to enter into a binding contract.
• You must connect a payment account through our payment processor’s Connect product. Until onboarding is complete and payouts are enabled, you cannot accept payments.
• You must provide accurate tax and identity information when prompted by the payment processor. Biou does not store that information directly.
• You agree to the payment processor’s own connected-account terms in addition to this Agreement.

3. Platform Fees

Biou retains a platform fee from each completed sale, set by the plan on your account at the time the sale is captured:

• Free plan — 8% platform fee per sale.
• Pro plan — 3% platform fee per sale.
• Premium plan — 0% platform fee per sale.

The platform fee is deducted automatically from each transaction at the time of payment. Payment processor fees, currency conversion fees, dispute fees, and refund fees are separate and are charged by the payment processor directly to your connected account. Biou is not responsible for those external fees.

4. Payouts

• Payouts are sent through our payment processor’s Connect product directly to the bank account or debit card you connected.
• Payout timing, holds, reserves, and minimum thresholds are set by the payment processor and may vary by country, history, and risk profile.
• Biou does not hold or custody your funds. Biou’s only share is the platform fee deducted at the time of each sale.
• You are responsible for monitoring your payouts and reconciling them against the order history in your Biou dashboard.

5. Your Responsibilities

5.1 Product quality and fulfillment

You are solely responsible for the quality, accuracy, lawfulness, and delivery of every Product you sell. This includes ensuring that the description, price, preview images, and any claims you make are accurate; that the delivery file, link, unlock content, or booking URL works correctly; and that buyers receive what they paid for.

5.2 Intellectual property

You represent and warrant that you own or have a valid license to every element of every Product you list, including text, images, audio, video, fonts, and code. You agree not to sell content that infringes the rights of others. Repeated or willful infringement will result in account termination (see our DMCA Policy).

5.3 Taxes

You are responsible for determining, collecting, reporting, and remitting any taxes (sales tax, VAT, GST, income tax, etc.) that apply to your sales. Biou does not act as a marketplace facilitator for tax purposes unless explicitly stated in writing and is not liable for your tax obligations.

5.4 Customer service

You are the primary point of contact for buyer questions, support, and complaints. You agree to respond to buyers within a reasonable time (we recommend 72 hours). Biou may, but is not obligated to, step in to mediate when a buyer cannot reach you.

5.5 Compliance

You agree to comply with all applicable laws and regulations, including consumer protection, advertising, intellectual property, data protection, and export-control rules in your jurisdiction and in the jurisdictions of your buyers.

6. Prohibited Products

You may not list or sell Products that violate our Acceptable Use Policy or that fall into the restricted-business list of our payment processor (including but not limited to firearms, illegal drugs, sexually explicit content, gambling without a license, multi-level marketing schemes, and counterfeit goods). The full restricted list is maintained by the payment processor and updated from time to time.

7. Refunds, Chargebacks & Disputes

• You agree to honor refund requests that fall under our Refund Policy.
• If a buyer initiates a chargeback, you are responsible for responding to it through the payment processor’s dispute flow within the deadline.
• If a refund or chargeback is issued, the platform fee for that sale is also reversed, and any amount already paid out to you may be deducted from your future payouts or invoiced if your balance is insufficient.

8. Suspension & Termination

We may suspend or terminate your creator account or remove specific Products without prior notice if you breach this Agreement, our Terms, our AUP, or applicable law; if your account is flagged for fraud or risk; if our payment processor requires it; or if we receive a valid legal request. Upon termination of your creator account, any unpaid balance held by the payment processor is governed by the payment processor’s terms.

9. Disclaimers

Biou is a platform. We do not warrant that you will achieve any particular level of sales, audience, or revenue. We are not a party to the contract between you and your buyer except as a facilitator. We make no warranties about the conduct of buyers or about future changes to our payment processor’s policies that may affect you.

10. Limitation of Liability

The limitations of liability in Section 13 of our Terms of Service apply to this Agreement and to any claim you may have as a creator.

11. Changes

We may change platform fees, payout terms, or other parts of this Agreement with reasonable notice (typically 14 days). Continued use of the Service after the effective date means you accept the changes.
